Social Media Manage & Marketing Agreement - Wise Infotech

This Agreement is entered into by and between:

Wise Infotech, having its principal place of business at
Salap, Domjur, Howrah – 711409
(hereinafter referred to as the “Service Provider”)

AND

The individual or business entity accepting this agreement digitally
(hereinafter referred to as the “Client”)

1. Scope of Services

1.1 Social Media Account Handling

  • Regular posts on platforms such as Facebook, Instagram.
  • Weekly 3 Posts & Monthly 12 Posts
  • Responding to comments and messages promptly.

1.2 Business-Related & Festive Posts

  • Customized posts for business promotions, festive seasons, and relevant trends & Video reels.

1.3 Paid Advertising Campaigns

  • Planning, execution, and optimization of ad campaigns to generate results.
  • Meta Ads (Facebook & Instagram)

1.4 Brand Awareness

  • Strategies to enhance brand visibility and reach across social platforms.

1.5 Lead Generation

  • Focused campaigns to attract potential customers and generate qualified leads.

2. Payment Terms

2.1 Service Charges

  • Monthly service charges will be as per the invoice shared with the Client.
  • Paid ad budget will be as per Client’s requirement (mentioned in invoice/discussion)

2.2 Payment Options

  • The Client may choose to pay the full amount at the start of the service.
  • Alternatively, the Client can pay 50% advance (first 15 days) + 50% before next 15 days.

2.3 Payment Schedule

  • The first payment must be made between the 1st to 2nd day of the month.
  • The second payment must be made between the 15th to 16th day of the month.

2.4 Ad Spend

The Client is responsible for their monthly ad spend for Meta Ads. The Agency is not responsible for ad charges and will manage the Client’s allocated budget.

2.5 Payment Method

Payments will be made via bank transfer / UPI / Cards

2.6 Late Payments

Payments not received within 7 days of the due date. The Agency reserves the right to pause all services until payment is made.

2.7 Refund Policy

There is no refund policy.

2.8 Increment in Fee

Service fees may be revised in future based on mutual discussion and agreement.

3. Client Responsibilities

  • Provide access to Facebook, Instagram & Ads Manager
  • Provide required content
  • Approve creatives within 1 day
  • Share business details on time

4. Agency Responsibilities

  • Deliver services as per agreed scope
  • Provide monthly reports
  • Optimize campaigns

5. Results and Expectations

  • No guaranteed results
  • Performance depends on external factors

6. Lead Misuse Policy

  • Leads/enquiries generated belong to the Client
  • Wise Infotech will not be responsible for misuse
  • Misuse detected → service pause or termination

7. Duration & Termination

  • Minimum contract duration: 3 months
  • 7 days notice required

8. Ownership & Rights

  • All content remains Agency property unless transferred
  • Accounts remain with Client

9. General Terms

  • Governed by Indian laws
  • Disputes resolved via discussion/arbitration

Digital Acceptance

By submitting the form & signing digitally, the Client confirms that they have read, understood, and agreed to all the terms mentioned above.
